Terms of Membership
DRAFT — PENDING COUNSEL REVIEW
Last reviewed: pending. These terms are a working draft prepared in-house and have not been settled by counsel. They do not yet form a binding agreement.
1. The House
La Ruche ("the House") is a private membership house providing arrangement, sourcing and introduction services to a limited number of members and their households. The House acts as agent for the member. It is not a principal in any transaction it arranges unless it says so in writing.
2. Admission
Membership is by introduction. An application is an invitation for the House to consider a candidate; it creates no entitlement. The House may decline an application without stating a reason, and may hold an application dormant.
3. The member and the household
A member may name household members and staff who may raise requests. The member remains responsible for instructions given by anyone they have named, and for the acts of their household in relation to the House.
4. Instructions and authority
The House acts on instructions received through the portal or through a named Keeper. Where an instruction commits the member to expenditure, the House will confirm the amount in writing before it proceeds. Verbal instructions are recorded and confirmed in writing.
5. Third parties
Suppliers, operators, carriers, brokers and specialists engaged on a member's behalf contract directly with the member unless stated otherwise. The House selects and supervises them with reasonable care but does not guarantee their performance.
6. Fees
Membership fees, arrangement fees and any commission arrangements are set out in the member's schedule. Where the House receives a commission from a supplier, that fact is disclosed to the member before the engagement.
7. Confidentiality
The House treats every matter as confidential. Confidentiality obligations survive the end of membership indefinitely. The House may disclose information where compelled by law or by a regulator.
8. Limits
The House is not liable for loss arising from a supplier's default, from force majeure, or from a member's own instruction given against the House's written advice. Nothing limits liability for death, personal injury or fraud.
9. Ending membership
A member may end membership at any time on written notice. The House may end membership on notice where fees remain unpaid, where conduct endangers staff or other members, or where continuing would breach law or sanction.
10. Law
These terms and any dispute arising from them are governed by the law of the jurisdiction named in the member's schedule.
